1. Agreement to Terms

By accessing or using LipaFlow ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

LipaFlow Technologies ("Company," "we," "our," or "us") operates under the laws of the Republic of Kenya.

2. Service Description

LipaFlow provides middleware automation that connects M-PESA payment notifications to WhatsApp Business messaging. Our Service enables businesses to:

  • Automatically send WhatsApp receipts upon M-PESA payment confirmation
  • Request customer reviews and feedback
  • Send digital tickets, warranties, and other documents
  • Sync inventory and customer data

3. Account Registration

To use LipaFlow, you must:

  • Be at least 18 years old
  • Operate a registered business in Kenya
  • Have a valid M-PESA Business account (Paybill or Till Number)
  • Have access to WhatsApp Business API
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

You are responsible for all activities that occur under your account.

4. Acceptable Use

4.1 Permitted Use

You may use LipaFlow only for lawful business purposes.

4.2 Prohibited Activities

You agree NOT to:

  • Send spam, unsolicited marketing, or bulk messages
  • Violate WhatsApp Business Policy or M-PESA Terms of Service
  • Transmit malicious code, viruses, or harmful content
  • Impersonate another person or entity
  • Collect customer data for unauthorized purposes
  • Reverse engineer or attempt to access our source code
  • Use the Service for illegal activities or fraud
  • Exceed rate limits or abuse API endpoints

5. Pricing and Payment

5.1 Subscription Plans

LipaFlow offers multiple subscription tiers (Free, Pro, Enterprise). Pricing is displayed on our website and may change with 30 days' notice.

5.2 Billing

  • Subscriptions are billed monthly in advance via M-PESA
  • All fees are in Kenyan Shillings (KES)
  • Fees are non-refundable except as required by law
  • Failure to pay may result in service suspension

5.3 Free Trial

Free tier users receive 100 WhatsApp messages per month. Upgrading to a paid plan is required for unlimited messaging.

6. Third-Party Services

LipaFlow integrates with third-party services including:

  • Safaricom M-PESA: Subject to Safaricom's terms and conditions
  • Meta WhatsApp Business API: Subject to Meta's Business Terms and WhatsApp Business Policy

We are not responsible for the availability, performance, or policies of third-party services. Any disputes with third parties are solely between you and them.

7. Data and Privacy

Your use of LipaFlow is also governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

You are responsible for obtaining necessary consents from your customers before sending them WhatsApp messages.

8. Intellectual Property

The Service, including all software, designs, text, graphics, and trademarks, is owned by LipaFlow Technologies and protected by Kenyan and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service. You may not copy, modify, distribute, or create derivative works.

9. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience downtime due to third-party service issues.

We are not liable for losses resulting from service interruptions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY KENYAN LAW:

  • LipaFlow is provided "AS IS" without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount you paid in the last 12 months
  • We are not responsible for third-party service failures (M-PESA, WhatsApp)

11. Indemnification

You agree to indemnify and hold harmless LipaFlow Technologies from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Your use of the Service
  • Content you send through the Service

12. Termination

We may suspend or terminate your account at any time for:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Request by law enforcement

You may cancel your subscription at any time. Upon termination, your access will cease, and data may be deleted after 30 days.

13. Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any disputes shall be resolved in the courts of Nairobi, Kenya.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.
